These Website Terms and Conditions (“Terms”) govern access to and use of protivix.com (the “Website”), operated by Protivix Smart Solutions LLC (“Protivix,” “we,” “us,” or “our”), based in Frisco, Texas.

1. Acceptance and scope

Please read these Terms before using the Website. By using the Website, you agree to these Terms to the extent permitted by applicable law. If you do not agree, please discontinue use.

These Terms apply to the public Website and its content. They do not replace separate agreements governing RICO software, subscriptions, demonstrations, consulting engagements, support, or other services.

If a separate agreement applies to a product or service, that agreement controls that product or service.

2. Website information

The Website provides information about Protivix, RICO solutions, Microsoft technology, consulting services, and related topics.

Website content is provided for general informational purposes. It is not a substitute for advice or recommendations based on your organization’s specific requirements.

Submitting an inquiry, requesting a demonstration, or scheduling a conversation does not by itself establish a consulting relationship, purchase a subscription, or create a commitment to provide services.

3. Permitted use

You may access the Website and download or print publicly available materials for your personal use or your organization’s internal evaluation of Protivix offerings, subject to any additional terms accompanying those materials.

You must preserve copyright, trademark, and other ownership notices. This permission does not authorize resale, redistribution, or commercial exploitation of Website content.

4. Prohibited use

You may not:

  • Use the Website for unlawful, fraudulent, or misleading purposes.
  • Attempt to gain unauthorized access to systems, accounts, or information.
  • Introduce malicious software or interfere with Website availability or security.

Protivix names, logos, and product branding may not be used without permission, except as permitted by law.

Microsoft and other third-party product names, logos, and trademarks belong to their respective owners. References to third-party products do not, by themselves, imply endorsement, sponsorship, or affiliation.

No ownership rights in Protivix software or other intellectual property are transferred through use of the Website.

6. Information you submit

When submitting an inquiry or other information, you agree to provide information you are authorized to share and that is accurate to the best of your knowledge.

Do not submit passwords, sensitive personal information, or confidential customer or business information through general Website forms. Confidential project information should be exchanged through a separately agreed process.

You grant Protivix permission to use your submission as reasonably necessary to respond to your request and communicate with you, consistent with our Privacy Policy and any applicable agreement. You retain ownership of your materials.

7. Product descriptions and illustrations

Product descriptions, capabilities, availability, prerequisites, and implementation options may change.

Screenshots, diagrams, demonstrations, and sample reports may contain illustrative data or show configurations that differ from a customer’s implementation.

Customer examples describe particular circumstances and do not guarantee identical results. Actual outcomes depend on factors such as requirements, configuration, data quality, adoption, and implementation.

Binding commitments regarding features, pricing, delivery, support, and performance are established in the applicable product or service agreement.

Certain Protivix solutions or demonstrations may use artificial intelligence. AI-generated outputs can contain errors or omissions and may require human review.

Website examples of AI capabilities are informational. The use of AI within a customer engagement or product is governed by the applicable agreement and documentation.

Do not rely on an illustrative AI output as the sole basis for a consequential business decision.

The Website may contain links to third-party websites, platforms, or services. Those resources are governed by their own terms and privacy policies.

Protivix does not control third-party websites and is not responsible for their content, availability, or practices. A link does not necessarily constitute an endorsement.

10. Privacy

Our Privacy Policy explains how we collect, use, and disclose personal information through the Website.

Please review the Privacy Policy before submitting personal information. These Terms do not limit rights available under applicable privacy laws.

11. Website availability and changes

We may update, modify, suspend, or discontinue Website content or functionality. We do not guarantee uninterrupted access or that all information will remain current.

We may restrict access when reasonably necessary to address misuse, security concerns, legal requirements, or violations of these Terms.

Changes to the Website do not modify obligations under a separate customer agreement.

12. Disclaimer of warranties

TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

PROTIVIX DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT WITH RESPECT TO THE WEBSITE. WE DO NOT WARRANT THAT THE WEBSITE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

THIS SECTION DOES NOT ALTER EXPRESS WARRANTIES IN A SEPARATE SIGNED AGREEMENT OR EXCLUDE WARRANTIES THAT CANNOT LAWFULLY BE EXCLUDED.

13. Limitation of liability

TO THE EXTENT PERMITTED BY APPLICABLE LAW, PROTIVIX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM USE OF, OR INABILITY TO USE, THE WEBSITE, INCLUDING LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA.

THIS LIMITATION APPLIES TO THE PUBLIC WEBSITE. LIABILITY ARISING FROM SOFTWARE OR PROFESSIONAL SERVICES IS GOVERNED BY THE APPLICABLE CUSTOMER AGREEMENT.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

14. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules, except where applicable law requires otherwise.

Nothing in these Terms removes mandatory protections or rights available to you under applicable law.

15. Changes to these terms

We may revise these Terms from time to time. Updated Terms will be posted on this page with a revised effective date.

Changes apply prospectively. Where required by law, we will provide additional notice or obtain agreement before changes become binding.

16. General provisions

If a provision is found unenforceable, it will be enforced to the extent permitted by law, and the remaining provisions will remain in effect.

A failure to enforce a provision does not waive the right to enforce it later.

These Terms govern use of the public Website and do not supersede separately executed agreements.
